Overview

Capital One Financial Corporation (COF) is a diversified financial institution and global payments provider operating through Credit Card, Consumer Banking—including its Global Payment Network—and Commercial Banking. It earns revenue primarily from lending spreads, fees and payments activity across the United States, Canada and the United Kingdom. Following the Discover transaction, the company reported $673.8 billion of assets and $484.3 billion of deposits at June 30, 2026. For a bank, gross margin, free cash flow, EV/EBITDA and conventional ROIC are not decision-useful measures; this update instead emphasizes revenue, pre-tax profitability, credit costs, EPS and regulatory capital.

What changed this quarter

Capital One’s second-quarter results marked a sharp improvement from both the acquisition-affected year-ago period and the immediately preceding quarter. Total net revenue was $15.85 billion, up 4.0% sequentially from $15.23 billion and 26.9% from $12.49 billion in Q2 FY2025. Reported net income reached $3.0 billion, or $4.73 per diluted share, compared with $2.2 billion and $3.34 per share in Q1 FY2026. A year earlier, the company lost $4.3 billion, or $8.58 per share.

The most important change was credit provision rather than revenue alone. Provision for credit losses declined by $1.1 billion sequentially to $3.0 billion. The quarter included $3.6 billion of net charge-offs and a $662 million reserve release. That combination substantially improved reported profitability, but it also means the quarter’s earnings should not be extrapolated without considering how much of the reserve release can recur.

Pre-tax margin, the relevant substitute for operating margin at a bank, improved to 24.1% from 17.7% in Q1 FY2026 and negative 47.5% in Q2 FY2025. The supplied XBRL point value shows $3.82 billion of operating income. This was a strong recovery, although the comparison with last year is distorted by the accounting and transaction costs surrounding Discover.

Underlying spread economics also improved. Net interest margin rose 14 basis points sequentially to 8.01%, while the rate paid on interest-bearing deposits declined 9 basis points to 2.91%. Period-end loans held for investment increased $9.4 billion, or 2.0%, to $457.2 billion. Growth was broad: credit-card loans rose 2.0%, auto loans rose 4.0%, and commercial loans rose 1.0%.

Costs moved in the other direction. Non-interest expense increased 7.0% sequentially to $9.0 billion, including an 11.0% increase in marketing and a 6.0% increase in operating expenses. Pre-provision earnings consequently advanced only 1.0% to $6.8 billion despite the 4.0% revenue increase. The reported efficiency ratio was 57.05%, versus an adjusted ratio of 51.38%. The gap reflects continuing transaction-related charges.

Reported EPS also remains below the company’s adjusted presentation. Capital One reported adjusted EPS of $5.81 after excluding $494 million of acquisition amortization, $298 million of Discover integration expense and $96 million of Brex integration expense. Those items reduced diluted EPS by a combined $1.08. The adjustment is useful for assessing the earning power of the combined franchise, but integration costs remain real cash and execution burdens until the work is complete.

Why it matters for the thesis

This quarter strengthens the case that FY2025 was not representative of Capital One’s normalized earnings capacity. FY2025 revenue increased 36.6% to $53.43 billion, but pre-tax margin fell to 4.3% and EPS declined to $4.03 as the Discover transaction disrupted comparability. Q2 FY2026 moved decisively away from that trough: revenue exceeded the year-ago level, pre-tax margin returned above 20%, and reported EPS exceeded each of the prior three quarters.

The quality of the improvement is mixed rather than uniformly strong. Higher net interest margin, deposit repricing and loan growth are favorable operating developments because they reflect the economics of the franchise. By contrast, the $662 million reserve release and $1.1 billion sequential decline in provision create a lower-quality component of the earnings increase. Credit costs can move sharply between quarters, particularly in a lender with substantial card and consumer exposure.

Management’s integration update was encouraging but qualitative. Chief Executive Richard Fairbank said the company was 14 months into integrating Discover and that the integration was “going well.” The reported numbers show progress toward normalized profitability, but they do not yet establish the final expense base. Non-interest expense grew faster than revenue during the quarter, and Discover integration expense remained $298 million.

Capital provides a meaningful buffer while this work continues. Capital One reported a preliminary Common Equity Tier 1 ratio of 13.7% at June 30, 2026. Period-end deposits declined 1.0% to $484.3 billion, although average deposits increased 1.0% to $486.8 billion. The combination of a solid CET1 ratio and stable average deposits reduces immediate balance-sheet risk, but neither eliminates the sensitivity of earnings to consumer credit.

The result therefore advances the thesis without completing it. Capital One now has evidence of revenue growth, spread improvement and recovering reported earnings. The missing proof is that it can sustain those results after reserve releases fade, while lowering integration costs and preventing operating expenses from outrunning revenue.

What CAPITAL ONE FINANCIAL CORP is worth after the print

There is no prior SageNoodle fair value to carry forward, so this update establishes an initial valuation. We use reported TTM EPS of $16.70 and scenario-specific earnings multiples. This approach is more appropriate for a bank than free-cash-flow or EV/EBITDA analysis, because deposits and lending assets are operating inputs rather than conventional financing items. No separate value is assigned to prospective Discover synergies because the supplied release does not quantify them.

The bear case applies a 10.0 times multiple to TTM EPS, producing fair value of $167 per share. This assumes the reserve release proves temporary, consumer credit costs rise, and integration expenses remain elevated. The multiple also reflects the volatility evident in Capital One’s recent results, including the Q2 FY2025 loss.

The base case applies 13.5 times TTM EPS, producing approximately $225 per share. It assumes Q2 demonstrates genuine earnings normalization, but that integration execution and credit cyclicality continue to warrant a restrained valuation. At the current price of $207.11, base-case upside is 8.6%, below the 15.0% threshold required for an Undervalued verdict. The shares are therefore Fairly Valued.

The bull case applies 16.0 times TTM EPS, producing fair value of $267 per share. It assumes that the 8.01% net interest margin remains resilient, loan growth continues, integration charges recede and adjusted earnings increasingly translate into reported earnings. The three scenarios have probabilities of 25% for Bear, 50% for Base and 25% for Bull. The probability-weighted value is approximately $221, close to but modestly below the $225 base case.

The quarter justifies a normalized-earnings valuation, but not an upward revision because no previous estimate exists. A higher fair value would require evidence that the expense base is converging toward the adjusted presentation and that credit performance remains strong without recurring reserve releases.

What could prove this wrong

Credit is the clearest risk. Capital One recorded $3.6 billion of net charge-offs in the quarter even as it released $662 million of reserves. If loss expectations deteriorate, provisions could rise again and reverse much of the sequential earnings improvement. The concentration in credit cards and other consumer lending makes that sensitivity structural rather than incidental.

Integration is the second risk. Management described the Discover integration as going well, but the quarter still contained $298 million of Discover integration expense and $494 million of acquisition amortization. Delays, customer disruption, technology problems or slower cost removal could keep reported earnings below adjusted earnings for longer than the valuation assumes.

Expense discipline also needs watching. Revenue increased 4.0% sequentially, but non-interest expense rose 7.0%, leaving pre-provision earnings up only 1.0%. Marketing can support future growth, yet sustained expense growth above revenue growth would limit operating leverage even if credit remains benign.

Finally, loan growth could become a liability if underwriting weakens. Period-end loans increased 2.0%, including 4.0% growth in auto loans. Growth adds revenue only if pricing compensates for future losses. The thesis would weaken if charge-offs and provisions rise faster than balances and net interest income.

The next confirming evidence is therefore straightforward: stable or lower provision expense without another material reserve release, continued net interest margin resilience, slower expense growth and declining integration charges. Failure on any two of those measures would make the $225 base case difficult to defend.
